Please read these Terms carefully. They include (a) the rules for community-text consent, (b) an agreement to resolve disputes through binding individual arbitration and a waiver of class actions (Section 19), and (c) limits on our liability (Section 17). You can opt out of arbitration within 30 days — see Section 19.6.
1. Who we are, and what you're agreeing to
Sideyard is a service of Integer Software LLC, doing business as "Integer" ("Integer," "we," "us," "our"), a Delaware limited liability company with offices at 169 Madison Ave, STE 64131, New York, NY 10016.
These Terms of Service (the "Terms") are a legally binding agreement between you and Integer. They cover the Sideyard mobile apps, the joinsideyard.com website, community pages and subdomains, the Sideyard text-messaging services (SMS, MMS, RCS, and iMessage), and any related features, content, and services we offer (together, "Sideyard" or the "Service").
By creating an account, joining the waitlist, replying to a Sideyard text, taking part in a community through texts, or using Sideyard in any other way, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you don't agree, please don't use Sideyard.
2. What Sideyard is
Sideyard lets a community — a neighborhood, a club, a congregation, a building, a team — share updates, events, polls, photos, and questions with its members, on the web, in an app, and mostly by text message. Communities are created and run by their own organizers ("Organizers"), not by Integer. Integer provides the platform: we deliver messages, record answers and RSVPs, host community pages, and help Organizers manage their communities.
Sideyard is free for communities and members today (see Section 12). We may change, add, or retire features as the Service grows. If we ever discontinue Sideyard, we will give you reasonable notice and a way to get your information out.
3. Eligibility, your account, and your phone number
3.1 You must be an adult. You must be at least 18 years old (or the age of majority where you live, if higher) to use Sideyard. Sideyard accounts are for adults. By using Sideyard you represent that you meet this requirement.
3.2 Your mobile number is your identity. You sign in with your mobile number and a one-time code we text you; there are no passwords. You agree to:
- use a mobile number that belongs to you, and keep it current;
- contact [email protected] if you give your number up, so we can help update your account;
- keep your account to yourself and not let others use it; and
- tell your Organizer or us ([email protected]) promptly if you think your account or number has been used without your permission.
You are responsible for activity that happens through your account or your number until you tell us otherwise.
3.3 Invitations and texting. An Organizer may invite you only with your permission. An invitation or community membership does not by itself authorize recurring texts. Community messaging, including participation by text without an account, is not yet available. When offered, it requires an explicit opt-in that identifies the sender and the kinds of messages you will receive. Section 4 explains the messaging program.
3.4 Electronic communications. You agree that we may provide notices, disclosures, records, and these Terms electronically — on the website, in the app, or by text message — and that electronic communications satisfy any legal requirement that a communication be in writing. Standard message and data rates may apply.
3.5 Accurate information. You agree to give us accurate information (including your real name) and to keep it accurate. We may reclaim, suspend, or refuse any username, community name, join code, or page address that infringes someone's rights, impersonates someone, or is otherwise inappropriate.
4. Text messages and messaging consent
4.1 Your consent to receive community texts. Sideyard's messaging program is called "Sideyard Community Texts," operated by Integer Software LLC for Sideyard and the communities you join. The web sign-in form requires you to check an initially unchecked box before you can request a verification code. That box combines acknowledgment of the Terms and Privacy Policy with consent to community texts. You cannot complete this web sign-in flow without checking it. The disclosure reads:
By checking this box, you agree to our Terms and Privacy Policy, and consent to receive community texts from Sideyard & community managers at the number provided; consent is not a condition of purchase. Msg frequency varies; data rates may apply. Text HELP for help, STOP to cancel.
The acknowledgment covers recurring automated community text messages at the number you verify, which may be sent using an automatic telephone dialing system or other automated technology. The program covers:
- community updates, announcements, newsletters, and group messages;
- event invitations, reminders, changes, and RSVP requests;
- polls, questions, and answers to questions you ask; and
- notice that your neighborhood is ready for access.
Community-text delivery is not yet available. Checking the box expresses your acknowledgment; it does not begin community-message delivery. The program rules below apply when community texting becomes available. Requesting a sign-in code separately authorizes that verification message. An existing account, community membership, or a change of phone number does not establish community-text consent.
No marketing enrollment. This flow does not request or record marketing consent. Community consent does not authorize promotional messages from Integer, your community, or unrelated senders. Any future marketing program would require a separate, explicit opt-in.
4.2 Consent is not a condition of purchase. Community-text consent is not a condition of purchasing goods or services. It is currently required by the web sign-in flow described above. Sideyard is free today.
4.3 Message frequency and cost. Message frequency varies depending on your communities' activity. Message and data rates may apply. Check with your mobile carrier for details about your plan.
4.4 How to stop. When community texting is available, reply STOP to a Sideyard community text to stop all Sideyard community texts to your number, across communities and groups. We also honor QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE, OPT OUT, and other reasonable requests to stop, including requests sent to [email protected]. After withdrawal, no further community texts may be sent unless you explicitly opt in again; one final message may confirm the opt-out. A request's processing time does not authorize continued sending.
Stopping texts does not cancel your community membership. Contact [email protected] for assistance; messaging preference controls are not yet available in your profile. When supported, START will request renewed community-text enrollment. Signing in, checking the web acknowledgment again, or requesting a one-time sign-in code does not by itself remove an existing delivery opt-out. A code you request is limited to that authentication attempt, and carrier or provider blocks may prevent delivery.
4.5 Help. Reply HELP to a Sideyard community text when messaging is available, or write to [email protected] at any time.
4.6 Quiet hours and delivery. When community messaging launches, Sideyard aims to send community messages between 9:00 a.m. and 8:00 p.m. in your community's local time zone. Sign-in codes and direct replies you request may go out right away. Mobile carriers and messaging platforms are not liable for delayed or undelivered messages, and neither are we (see Section 15).
4.7 iMessage and RCS. Where available, Sideyard may deliver messages through Apple's iMessage (including Apple Messages for Business) or RCS rather than SMS. Those channels are provided by Apple, Google, your carrier, and their partners under their own terms; features such as read receipts, typing indicators, and rich cards depend on your device and carrier.
4.8 Mobile-data protection. The web form requires the checkbox but does not retain a separate record of your checkbox acknowledgment. Delivery enrollment, consent recordkeeping, enrollment confirmation, and opt-out handling must be in place before community texts launch.
We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. Mobile numbers and messaging opt-in data and consent are not sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes. Providers may process this information only to operate the service for us, including verifying numbers and delivering authorized messages, as described in the Privacy Policy.
4.9 Your responsibilities. You represent that you are the current subscriber or customary user of the mobile number you provide, and you agree to tell us right away if that changes. You will not use Sideyard to send messages to anyone who has not agreed to receive them (see Section 5).
5. Organizers run their communities
Communities on Sideyard belong to the people who run them. If you create or help run a community, group, or event (an "Organizer"), you also agree to the following:
5.1 Community messages go out on your behalf. Before community texting becomes available, Integer must register the messaging program with carriers and complete enrollment and withdrawal handling. Messages will then be sent on your behalf within the member's consent. You are responsible for what your community sends and for the consent of the people you add.
5.2 Only people who said yes. You promise that every person you add, invite, or import has given you their number and agreed to hear from the community by text. Never add strangers, purchased or rented lists, scraped numbers, or anyone who hasn't said yes. If you import contacts from your phone, you promise you have the right to share those contacts with us and to invite them. We may require an invited person to confirm ("double opt-in") before community messages begin, and we may limit invitations to protect the Service.
5.3 Member information stays in the community. You and any group leaders or co-admins you name can see members' names, replies, RSVPs, answers, and questions so you can run things. Treat that information with care, use it only for the community, don't export or share it for any other purpose, and comply with applicable privacy laws. Members' phone numbers are not shown to Organizers or other members except as described in Section 8.
5.4 You decide who joins. Requests to join wait for your approval, and you can remove members. You choose whether your community's pages are public (anyone with the link can read) or members only (Section 8).
5.5 You're responsible for your content and your events. You are responsible for the accuracy and lawfulness of what your community sends, including answers you approve for the assistant to send (Section 7), and for events you organize (Section 16.2). Don't use Sideyard to send anything that would violate Section 9, applicable law, or carrier and messaging-platform rules, including the CTIA Messaging Principles and Best Practices.
5.6 Our right to pause. We may pause or block a message, or suspend a community, group, or Organizer, when we reasonably believe something violates these Terms, the law, or messaging-industry rules, or creates risk for members or the Service.
6. Your content
6.1 It's yours. What you write, photograph, and share on Sideyard ("Your Content") stays yours.
6.2 The license you give us. To run Sideyard, you grant Integer a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) license to host, store, copy, transmit, reformat, display, and distribute Your Content as needed to operate, deliver, and improve the Service — for example, sending an update as texts, showing a photo on your community's page, generating a preview link, or drafting an answer to a member's question from an update you wrote. If you or your Organizer make a page or update public, this license includes displaying it to the public and allowing search engines to index it. This license ends when you delete Your Content or your account, except that (a) copies may persist in backups for a limited time, (b) content you've shared with others (like a text already delivered, or a public update others have viewed) may remain visible to them, and (c) we may keep content as required by law or Section 13.3.
6.3 We don't train on your content. We do not use Your Content or your messages to train our own AI models, and we contract with our AI providers so they do not use it to train theirs (see Section 7 and the Privacy Policy).
6.4 Your promises about Your Content. You promise that you own or have the rights you need to share Your Content, including rights to any photos of other people, and that Your Content and its use on Sideyard don't infringe or violate anyone's rights or any law. If content breaks these Terms, we can remove it or restrict its distribution.
6.5 Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
7. The assistant that reads and answers texts
Sideyard uses software, including artificial-intelligence models provided by third parties ("AI"), to read incoming texts and to generate or draft responses so nobody has to chase answers. You should know that:
- Some replies you receive are generated by AI, not typed by a person. When you answer an invitation in your own words, the assistant matches your reply to a choice, records your answer, and may text you a confirmation. When you text a question, the assistant may answer automatically from information your Organizer has published or provided, or draft an answer for your Organizer to approve.
- The assistant can be wrong. AI-generated responses may be inaccurate, incomplete, or misread what you meant. Your Organizer sees anything unclear and can correct any answer, and you can always fix yours by texting again. Don't rely on an AI-generated reply for anything important without checking with your Organizer.
- You can reach a person. Text HELP, ask for your Organizer, or write to [email protected], and a person will follow up.
- Not advice. Nothing the assistant says is legal, medical, financial, safety, or other professional advice.
We may change how the assistant works, and we'll update these Terms and the Privacy Policy when the changes matter to you.
8. What other members and the public can see
8.1 Inside the community. Your name, profile photo, and your answers (RSVPs, poll votes, questions you ask) appear to your community under its rules: who's coming to an event stays hidden until you answer, and full guest lists are for members.
8.2 Public pages. Organizers can make a community's page, or individual updates, public. Anything public can be seen by anyone with the link, may be indexed by search engines, and may be shared elsewhere. If you don't want your name or content on a public page, talk to your Organizer or leave the community.
8.3 Your phone number. Sideyard doesn't display your phone number to other members or Organizers (an Organizer who added you from their own contacts already has it). If you ask to swap numbers with someone, Sideyard asks them first, and numbers are shared only when both of you say yes.
8.4 Location. If you choose to share your location (for example, to find nearby communities or events), we use it as described in the Privacy Policy. Other members see your approximate neighborhood only if you add it to your profile.
9. Ground rules
You agree not to use Sideyard to:
- harass, threaten, bully, stalk, or deceive people, or share content that is hateful, sexually explicit, violent, or that exploits or endangers minors;
- send spam, chain messages, unsolicited commercial messages, or anything unlawful, including messages that violate the TCPA, the CAN-SPAM Act, state telemarketing laws, or carrier and messaging-platform rules;
- impersonate any person, community, or organization, or misrepresent your affiliation;
- share other people's personal information without permission, or scrape, harvest, or collect members' information;
- infringe anyone's intellectual property, privacy, or publicity rights;
- promote or sell illegal goods or services, or engage in fraud, pyramid schemes, or scams;
- upload malware, interfere with the Service or other people's use of it, probe or test our systems without permission, or try to break in;
- reverse engineer, copy, resell, or build a competing service from Sideyard, or access it through automated means other than our published interfaces; or
- circumvent any limits, filters, or moderation we put in place.
We may investigate and take any action we think appropriate, including removing content, pausing messages, and suspending or closing accounts and communities.
10. Not for emergencies
Text messages can be delayed or fail, and Sideyard does not monitor messages in real time. Never rely on Sideyard for emergencies or urgent safety messages — call 911 or your local emergency number instead.
11. Waitlist and early access
Joining the waitlist creates an account after you verify your mobile number and provide your first and last name. The web flow requires the checkbox acknowledgment described in Section 4. Joining does not start community-message delivery. Before sending access texts, Sideyard must establish explicit delivery enrollment and consent records and honor opt-outs. Existing accounts are not automatically enrolled. Joining does not promise an access date. Early-access, beta, and preview features may be incomplete, may change or end at any time, and are provided without any warranty or support commitment.
12. Cost
Sideyard is free for communities and members today. If we ever charge for something, we will say so clearly and in advance — in the app, by text, and on the site — and nothing you already use will silently start costing money. Any paid features will be governed by additional terms we present at the time.
13. Leaving, and closing accounts
13.1 You can leave any time. Leaving a group or a community is one tap in the app, or you can ask your Organizer to remove you. To stop texts without leaving, reply STOP (Section 4.4). You can delete your account from your profile; that removes you from every community, for good.
13.2 We can suspend or close accounts. We may suspend or terminate your access to Sideyard, or any community, at any time if we reasonably believe you've violated these Terms or the law, if required by a carrier or platform, if your account has been inactive for an extended period, or if we discontinue the Service. Where it's fair to do so, we'll warn you first.
13.3 What survives. When your account closes, your right to use Sideyard ends. The Privacy Policy explains the little we keep afterward, like the record that you opted out. Sections 4.8, 6.2 (to the extent stated), 6.5, 9, 13.3, 14, and 15 through 21 survive termination.
14. Copyright complaints (DMCA)
We respect intellectual property and expect you to as well. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512).
14.1 How to send a notice. If you believe content on Sideyard infringes your copyright, send a written notice to our designated agent:
Legal Department, Integer Software, LLC
Designated Copyright Agent (U.S. Copyright Office Registration No. DMCA-1073598)
169 Madison Ave, STE 64131
New York, NY 10016
Phone: (201) 815-4215
Email: [email protected] (subject line: "DMCA Notice")
Notices sent to [email protected] will also be forwarded to the agent.
Your notice must include everything required by 17 U.S.C. § 512(c)(3): (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing, with enough detail (such as the community page URL, update title, or event) for us to find it; (d) your address, telephone number, and email address; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act for the owner.
14.2 Counter-notices. If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to the same agent that includes: (a) your physical or electronic signature; (b) identification of the material that was removed and where it appeared before removal; (c) a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification; (d) your name, address, and telephone number; and (e) a statement that you consent to the jurisdiction of the federal district court for the district where you live (or, if outside the U.S., the Southern District of New York) and that you will accept service of process from the person who sent the original notice or their agent. We will forward your counter-notice to the original claimant, and we may restore the content in 10 to 14 business days unless the claimant tells us they have filed a court action seeking to restrain the activity.
14.3 Repeat infringers. We terminate the accounts of users we determine to be repeat infringers in appropriate circumstances.
14.4 Misuse. Knowingly making a false claim in a notice or counter-notice can expose you to liability under 17 U.S.C. § 512(f).
15. Services we don't control
Sideyard works through services Integer doesn't control — mobile carriers, messaging platforms (including Apple, Google, and messaging aggregators), sign-in, hosting, and AI providers, and the Apple App Store and Google Play. They have their own terms and their own outages, and Integer isn't responsible for them. Links to third-party websites or content (including links Organizers post) are provided for convenience, and we don't endorse or take responsibility for them.
16. Disclaimers
16.1 As is. Sideyard is provided "as is" and "as available." To the fullest extent the law allows, Integer and its suppliers disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not promise that the Service will be uninterrupted, secure, or error-free; that every message will arrive, or arrive on time; or that AI-generated responses will be accurate.
16.2 Communities and events are not ours. Communities, groups, updates, and events on Sideyard are created and run by their members and Organizers, not by Integer. We don't screen members, Organizers, or events, and we're not responsible for what people do or say, online or in person. Attending an event, meeting other members, or sharing information with them is your decision and at your own risk. Please use good judgment, and report concerns to [email protected].
16.3 Where disclaimers aren't allowed. Some places don't allow some of these disclaimers, so some may not apply to you.
17. Our responsibility to you (limitation of liability)
To the fullest extent the law allows:
- Integer's total liability to you for all claims relating to Sideyard or these Terms, whatever the legal theory, is limited to US $100 or, if greater, the amount you paid Integer for Sideyard in the twelve months before the claim arose.
- Integer is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; for lost profits, revenue, data, or goodwill; for the cost of substitute services; or for any loss arising from delayed, undelivered, or misdirected messages, from AI-generated responses, from the conduct of other users or Organizers, or from events you attend — even if we've been told such damages are possible.
- These limits apply to Integer and its members, managers, officers, employees, contractors, and suppliers, and they apply together so that the total liability of all of them does not exceed the cap above.
Some places don't allow some of these limits, so they may not all apply to you. Nothing in these Terms limits liability that can't be limited by law, including for fraud or for death or personal injury caused by our negligence where such limits are prohibited.
18. Indemnity
If someone brings a claim against Integer because of Your Content, your use of Sideyard, your community or event, messages you or your community sent, or your violation of these Terms or the law (including messaging and privacy laws), you agree to defend Integer and its affiliates, officers, employees, and agents and to pay any resulting damages, costs, and reasonable attorneys' fees. We may take over the defense of any claim you're indemnifying, and you agree to cooperate.
19. Disagreements: informal resolution, arbitration, and class waiver
Please read this section carefully. It affects your legal rights.
19.1 Talk to us first. If something goes wrong, text HELP or write to [email protected] with your name, the number on your account, and a description of the problem. Most problems resolve with a conversation. Before either of us starts arbitration or a lawsuit, we each agree to try to resolve the dispute informally for at least 30 days after the other side receives written notice of it (the "Notice Period"). Any statute of limitations is paused during the Notice Period.
19.2 Binding arbitration. If we can't resolve it informally, you and Integer agree that any dispute, claim, or controversy arising out of or relating to these Terms, Sideyard, or the relationship between us — including claims about text messages under the TCPA or similar laws, and claims about the scope or enforceability of this Section — will be resolved by binding individual arbitration rather than in court, except as stated in Sections 19.4, 19.5, and 19.6. This agreement is governed by the Federal Arbitration Act.
19.3 How arbitration works. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if applicable, its Comprehensive Rules), including the JAMS Consumer Minimum Standards, before a single arbitrator. The arbitration will take place in Wilmington, Delaware, unless you and Integer agree otherwise; either party may ask for the hearing to be held by video or phone, and claims under US $25,000 may be decided on written submissions. Integer will pay all JAMS filing, administration, and arbitrator fees for consumer claims to the extent required by the JAMS Consumer Minimum Standards; otherwise fees are allocated under the JAMS rules. The arbitrator may award the same individual relief a court could, and the arbitrator's award may be entered in any court of competent jurisdiction. JAMS rules and forms are at www.jamsadr.com.
19.4 Class action waiver. You and Integer each waive any right to participate in a class, collective, consolidated, or representative action or arbitration, or to have any dispute heard as a private attorney general, to the fullest extent the law allows. The arbitrator may award relief only to the individual party seeking relief and only to the extent needed to resolve that party's individual claim. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) will proceed in court under Section 20, and the rest of this Section stays in effect.
19.5 Exceptions. Either of us may (a) bring an individual claim in small-claims court, and (b) seek an injunction or other equitable relief in court to stop unauthorized use or abuse of the Service or infringement of intellectual property rights. Nothing here prevents you from bringing concerns to a government agency.
19.6 Your right to opt out. You can opt out of this arbitration agreement and class waiver by emailing [email protected] within 30 days after you first accept these Terms (when you create your account or, if you take part without an account, when you first reply to a Sideyard message), with the subject line "Arbitration Opt-Out" and your name and the mobile number on your account. Opting out won't affect any other part of these Terms and won't affect your use of Sideyard.
19.7 Mass arbitration. If 25 or more similar claims are brought against Integer by the same or coordinated counsel, the parties agree to a bellwether process in which up to 10 claims per side are arbitrated first, with the remaining claims paused (and their limitations periods tolled) until those are resolved, followed by a good-faith mediation of the rest. The arbitrator (not a court) will resolve any dispute about this subsection.
19.8 Changes to this section. If we change this Section 19 after you accepted these Terms, you may reject the change by emailing [email protected] within 30 days, in which case the prior version applies to disputes between us.
20. Governing law and venue
These Terms and any dispute between you and Integer are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. For any dispute not subject to arbitration, you and Integer agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and waive any objection to venue there — except that either party may bring a claim in small-claims court where you live, and nothing here deprives you of mandatory consumer protections of the state where you reside.
21. General terms
21.1 Changes to these Terms. We can update these Terms as Sideyard changes. If a change meaningfully affects your rights, we will give notice — on this page, in the app, or by text — at least 14 days before it takes effect (unless the change is required by law or addresses a security or abuse issue). Using Sideyard after that means you accept the updated Terms. If you don't agree, stop using Sideyard and delete your account.
21.2 App store terms. If you download the Sideyard app from the Apple App Store or Google Play, you also agree to their terms. Apple and Google are not parties to these Terms, have no obligation to provide support or maintenance, and are third-party beneficiaries of these Terms with the right to enforce them against you. Apple is not responsible for any claims relating to the app, including product-liability, consumer-protection, and intellectual-property claims.
21.3 Export and sanctions. You represent that you are not located in, or a resident of, a country subject to U.S. embargo, and are not on any U.S. government restricted-party list.
21.4 Entire agreement; severability; waiver. These Terms, the Privacy Policy, and any additional terms we present for specific features are the entire agreement between you and Integer about Sideyard. If any part is found unenforceable, the rest stays in effect (subject to Section 19.4). Our not enforcing a provision isn't a waiver of it.
21.5 Assignment. You may not transfer these Terms or your account. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
21.6 No third-party beneficiaries. Except as stated in Section 21.2, there are no third-party beneficiaries of these Terms.
21.7 Force majeure. We're not responsible for delays or failures caused by events beyond our reasonable control, including carrier or platform outages, internet failures, natural disasters, and government actions.
21.8 Notices. Legal notices to Integer must be sent to Integer Software LLC, 169 Madison Ave, STE 64131, New York, NY 10016, with a copy to [email protected]. We may send notices to you at the mobile number on your account (or an email address if you've given us one), in the app, or on the website.
21.9 California residents. Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
